SmartCart Web Design Agreement
Terms and Conditions

You understand and agree to the following terms and authorize SmartCart to provide you with web design services. 

You agree that you are hiring SmartCart for the purpose of designing a web site to be published on servers hosted by SmartCart.

Development
During the process of creating your web site, you can view the work in progress on a site owned by SmartCart and provide feedback during the designing stages. It is expected of you to promptly provide comments or instructions regarding any changes or corrections.

Copyrights and Trademarks
You guarantee that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to to SmartCart for use in the project are yours or that you have permission from the rightful owner to use each of these elements and that SmartCart is not liable for using them on your behalf.  

Completion Date
SmartCart cannot complete the web design in a timely manner without your cooperation! Once the project is scheduled to begin, you agree to provide the materials (content photos or text), that you want to use in a timely manner.  SmartCart agrees to work expeditiously to complete the project after you have submitted all necessary materials. Your cooperation is key to the scheduling of  other projects. 

Copyright
The finished web design is property of SmartCart LLC until receipt of final payment, at which that time the finished design becomes your property. (Please note that we have no control over the legal rights to photos, graphics, source code, work-up files, and computer programs that are owned by others.) In the event that the design is hosted with SmartCart, only the design becomes your property and not the proprietary SmartCart software/service.

SmartCart reserves the right to display graphics and other web design elements as examples of their work in their respective portfolios.

Payments & Payment Schedule
You agree payments will be made promptly, and in the event collection proves necessary, agree to pay all fees (including all attorney’s fees and court costs) incurred by that process.

Legal Notice
SmartCart cannot warrant that the functions contained in the web design project will be uninterrupted or error-free with any outside web hosting service providers.
